Remarks

Disclosure of notes on shareholding pattern Note:1 The Company discloses that, in accordance with SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, Mr. Eswaran Seyyadurai is classified as part of the Promoter Group due to his relationship as the brother of Mr. Seyyadurai Nagarajan, a Promoter of the Company. However, through a disclosure submitted to the Stock Exchanges under Regulation 31(4) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, the Promoters have clarified that there is no business connection between Mr. Eswaran Seyyadurai and the Company, its Promoter, or the Promoter Group, with respect to W.S. Industries (India) Limited. Note 2: The sectorial cap under Table VI, is being altered based on the notes given therein, as guided by the Note 1 of the said table, (the company does not have any board approved limit, the statutory cap provided by Government / Regulatory Authorities) the limit provided under FEMA (Non-Debt Instruments) Rules, 2019 is taken and it is 100%. Note 3: Mr. Vinu Pranav, Mr. Dhanu Adhav Arvindan, and CMK Projects Private Limited, all belonging to the Promoter Group, were allotted 10,00,000, 10,00,000, and 40,00,000 convertible warrants respectively on a preferential basis pursuant to the shareholders’ approval dated 25th July, 2025 and in-principle approvals granted by BSE and NSE. They did not hold any equity shares or warrants in the Company prior to this allotment, and their inclusion under the “Promoter Group” category represents a fresh classification and not a reclassification. Subsequently, Mr. Dhanu Adhav Arvindan purchased 12,000 equity shares of the Company on 01.12.2025 after obtaining pre-clearance in accordance with the SEBI (Prohibition of Insider Trading) Regulations, 2015 and the Company’s Code of Conduct, and made the requisite disclosures under the SEBI (SAST) Regulations to the Stock Exchanges. Note 4: a) Mrs. Mamatha P (Promoter Group) created a pledge over 8,42,853 equity shares on 31st March, 2026 and the same was intimated by the Company to the Stock Exchanges on 3rd April, 2026. b) Mr. K.V. Prakash (Promoter) created a pledge over 2,00,000 equity shares on 20th August, 2026 and the same was intimated by the Company to the Stock Exchange on 21st August, 2026. Note 5: Pursuant to an internal compliance review and based on the disclosures subsequently received from the concerned promoters, M/s. Renaatus Procon Private Limited and Mrs. Padminisundaram Kulandaisamy were identified as persons/entities required to be classified under the Promoter Group category. Consequently, the Company updated its promoter group records and made the necessary disclosures to the Stock Exchanges under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 vide letters dated 29th April, 2026, 30th April, 2026, 14th May, 2026 and 19th May, 2026. Accordingly, they have been reflected under the Promoter Group category in the shareholding pattern with effect from the quarter ended 30th June, 2026. Note 6: In accordance with Regulation 31 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-2/P/CIR/2025/35 dated 20 March 2025 and the applicable SEBI FAQs, the Shareholding Pattern for the quarter ended 30 September 2026 includes the details of persons and entities identified as forming part of the Promoter and Promoter Group in accordance with the applicable regulatory definitions, including those having NIL shareholding.
