| Disclosure of notes on shareholding pattern | Note:1 The Company discloses that, in accordance with SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, Mr. Eswaran Seyyadurai is classified as part of the Promoter Group due to his relationship as the brother of Mr. Seyyadurai Nagarajan, a Promoter of the Company. However, through a disclosure submitted to the Stock Exchanges under Regulation 31(4) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, the Promoters have clarified that there is no business connection between Mr. Eswaran Seyyadurai and the Company, its Promoter, or the Promoter Group, with respect to W.S. Industries (India) Limited. Note 2: The sectorial cap under Table VI, is being altered based on the notes given therein, as guided by the Note 1 of the said table, (the company does not have any board approved limit, the statutory cap provided by Government / Regulatory Authorities) the limit provided under FEMA (Non-Debt Instruments) Rules, 2019 is taken and it is 100%. Note 3: A total of 20,00,000 equity shares were allotted pursuant to the shareholders approval dated 25th July, 2025, and the in-principle approvals granted by both Stock Exchanges on 14th October, 2025, by the Allotment Committee of the Board at its meeting held on 29th October, 2025. The lock-in period for these 20,00,000 equity shares shall commence from the date of receipt of trading (listing) approvals from both BSE and NSE and credit of shares by the Depository Participant (DP), for a period of six (6) months, as applicable, from the latest date of such trading approval received from all Stock Exchanges. Note 4: Mr. Vinu Pranav, Mr. Dhanu Adhav Arvindan, and CMK Projects Private Limited, all belonging to the Promoter Group, have been allotted 10,00,000, 10,00,000, and 40,00,000 convertible warrants respectively, on a preferential basis pursuant to the shareholders approval dated 25th July, 2025 and in-principle approvals granted by BSE and NSE. They did not hold any equity shares or warrants in the Company prior to this allotment. Their inclusion under the Promoter Group category represents a fresh classification and not a reclassification. |
